Terms of Services

These Terms of Service ("Terms") govern your use of the website, web application, and mobile application (collectively, the "Software") and related services (together with the Software, the "Services") offered by MG Health Tech, Inc. and its affiliates ("MG Health Tech," "we," "us," or "our"). "You" and "your" refer to the person using the Services.

Please read these Terms carefully. By creating an account, clicking "I agree" (or similar), or otherwise accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

IMPORTANT — NOT A MEDICAL PROVIDER / NO EMERGENCY USE. See Section 2.

1. Eligibility and Account

  • Eligibility. The Services are available to individuals who are 18 years or older and residents of the United States.

  • Registration. You must provide accurate, current, and complete information and keep it up to date.

  • Account security. Keep your credentials confidential, do not share or transfer your account, and notify us immediately of any unauthorized use at security@mghealthtech.com. You are responsible for activity under your account.

2. Medical Disclaimer

DO NOT USE THE SERVICES FOR A MEDICAL EMERGENCY. If you think you may have a medical emergency, call 911, go to the nearest emergency room, or contact your local crisis center.

MG Health Tech is not a healthcare provider and does not provide medical advice, diagnosis, or treatment. Content in the Services is for informational purposes only and is not a substitute for professional medical advice. Always consult a qualified provider.

AI features. If the Services use AI or machine-learning features, outputs are not verified or guaranteed to be accurate, are not medical advice, and do not diagnose or treat any condition.

3. Privacy

Your use of the Services is also governed by our Privacy Policy. Please review it to understand how we handle your information.

4. Communications and Electronic Signatures

  • We may send you electronic communications (email, SMS/text, in-app notices) about your account, the Services, and, where permitted, other opportunities.

  • You consent to receive records and disclosures electronically and agree that your electronic actions (clicking, tapping, typing your name) constitute your signature and acceptance.

5. License and Intellectual Property

  • We grant you a personal, limited, revocable, non-exclusive, non-transferable license to use the Services for your own non-commercial use, subject to these Terms.

  • We (and our licensors) own all rights in the Services and their content, software, design, and trademarks. You may not copy, modify, reverse engineer, distribute, sell, or create derivative works except as expressly permitted.

6. Your Content

  • You retain rights in content you submit ("User Content").

  • You are responsible for your User Content and represent that you have the rights to submit it.

7. Acceptable Use

  • infringe others' rights;

  • upload malware;

  • scrape or use automated access without permission;

  • reverse engineer the Services;

  • interfere with or attempt to breach the security of the Services;

  • impersonate others;

  • harass other users;

  • attempt to access data you are not authorized to access.

The Services may link to or integrate third-party services or connected devices (e.g., wearables). We do not control and are not responsible for third-party content or services; your use of them is at your own risk and subject to their terms.

9. Termination

We may suspend or terminate your access at any time, including for breach of these Terms. You may close your account by contacting support@mghealthtech.com. Certain obligations survive termination (IP, disclaimers, limitation of liability, dispute resolution).

10. Disclaimers

the services are provided "as is" and "as available." to the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the services will be uninterrupted, secure, or error-free.

11. Limitation of Liability

​To the maximum extent permitted by law, MG Health Tech will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for lost profits or data. Our total aggregate liability will not exceed $0.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of California, without regard to conflict-of-laws rules.

13. App Store Terms

If you download the app from the Apple App Store or Google Play, additional platform terms apply, and the platform is a third-party beneficiary of the relevant provisions.

14. Changes to These Terms

We may update these Terms. We will post changes and update the "Last Updated" date; material changes will be communicated by reasonable means. Continued use after changes means you accept them.

15. General

Entire agreement; no waiver; severability; no agency relationship; you may not assign, we may assign in a merger or sale.
